hourzero.dev License Agreement

1. Parties and Acceptance

This License Agreement ("Agreement") is entered into between DIALOG AI SOLUTIONS SRL ("hourzero.dev," "Licensor," "we," "us," or "our"), and you, the purchaser ("Licensee," "you," or "your"), regarding the use of the hourzero.dev coding boilerplate ("Product") available at https://hourzero.dev ("Website"). By purchasing, downloading, accessing, or using the Product, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not purchase or use the Product.

2. Definitions

"Download Files" means all files made available to you upon purchase, including all source code, configuration files, documentation, assets, prompts, and any other materials provided as part of the Product via the private GitHub repository.

"Derivative" means any work based upon, derived from, or incorporating any portion of the Download Files, regardless of the extent of modification, refactoring, renaming, or restructuring applied. A work does not cease to be a Derivative merely because it has been substantially modified.

"End Product" means any software application, website, hosted service, or other artifact produced by you that incorporates the Download Files or Derivatives of the Download Files.

"End User" means a user of your End Product. For the avoidance of doubt, End Users of a SaaS application hosted and operated by you are not considered recipients of the Download Files and do not require their own hourzero.dev license.

"Client" means an individual or entity receiving custom professional services directly from you, produced specifically for that individual or entity, where the Client receives or obtains access to the Download Files, Derivatives, or source code. Customers of a SaaS product who only access a hosted application are not considered Clients.

"Organization" means, for an Enterprise License, the Licensee and any entity that directly or indirectly controls, is controlled by, or is under common control with the Licensee, where "control" means ownership of more than 50% of voting securities. For an Individual License, Organization means the Licensee alone.

"Employee" means, for an Enterprise License, a full-time or part-time employee of the Licensee.

"Contractor" means, for an Enterprise License, an individual or business entity contracted to perform services for the Licensee.

"Tier" means the specific Product tier purchased by the Licensee, as identified at the time of purchase: Starter, Pro, or Enterprise.

This summary is provided for convenience only and is not legally binding. The full terms below govern your use of hourzero.dev.

4. License Tiers

The Product is available in three tiers. The Starter and Pro tiers are governed by the Individual License (Section 5). The Enterprise tier is governed by the Enterprise License (Section 6). All tiers are subject to the Restrictions (Section 7) and all subsequent sections of this Agreement.

The features available to you depend on the tier you purchase, as described on the Website at the time of purchase. Purchasing a lower tier does not entitle you to features included in a higher tier. You may upgrade from one tier to a higher tier by contacting us and paying the applicable difference.

5. Individual License (Starter and Pro)

hourzero.dev grants the Licensee a perpetual (unless terminated in accordance with Section 12), non-exclusive, non-transferable, and non-sublicensable Individual License to use the Download Files. This license grants permission to one individual — the Licensee — to access and use the Download Files. Access to the Download Files is restricted solely to the individual who completed the purchase. The Licensee may use the Download Files on multiple personal devices and accounts they control, provided no other individual is granted access.

Permitted uses:

You may use the Download Files to create unlimited End Products for your own personal or commercial use. You may build, deploy, and sell End Products where End Users access the End Product as a hosted service, provided the End Product does not expose, distribute, or make available the Download Files, Derivatives, or source code to the End User. You may sell End Products as compiled or built artifacts, provided the buyer does not receive the Download Files or source code. You may use automated service providers, hosting platforms, CI/CD pipelines, backup systems, and cloud infrastructure to store, build, and deploy the Download Files solely to operate your own infrastructure, provided no human access to the Download Files is granted to individuals outside the license.

Prohibited uses:

You may not share, distribute, transfer, or otherwise make the Download Files or Derivatives accessible to any other individual or entity, including but not limited to clients, contractors, collaborators, partners, or team members. You may not build End Products for Clients under any circumstances on an Individual License. Client work requires an Enterprise License, and any Client who receives source code must hold their own valid hourzero.dev license. You may not grant repository access, send source code files, or provide access to the Download Files through any other means to anyone other than yourself.

6. Enterprise License

hourzero.dev grants the Licensee a perpetual (unless terminated in accordance with Section 12), non-exclusive, non-transferable, and non-sublicensable Enterprise License to use the Download Files. This license grants permission to the Licensee's Organization to access and use the Download Files.

All Employees and Contractors of the Licensee may access and use the Download Files, provided that such access is solely for the purpose of building End Products owned by the Licensee or its licensed Clients. When an Employee or Contractor ceases their engagement with the Licensee, they must immediately delete all copies of the Download Files and Derivatives in their possession and may not retain or continue to use them for any purpose.

Permitted uses:

You may use the Download Files to create unlimited End Products for your Organization's own use or business. You may build, deploy, and sell End Products where End Users access the End Product as a hosted service. You may use the Download Files to create End Products for Clients, provided that any Client who receives the source code, Download Files, or Derivatives holds their own valid hourzero.dev license. You may sell End Products as compiled or built artifacts, provided the buyer does not receive the Download Files or source code unless the buyer holds a valid hourzero.dev license. You may use automated service providers, hosting platforms, CI/CD pipelines, backup systems, and cloud infrastructure to store, build, and deploy the Download Files solely to operate your Organization's own infrastructure, provided no human access to the Download Files is granted to individuals outside the Organization.

Prohibited uses:

You may not distribute, transfer, or make the Download Files or Derivatives available to any individual or entity outside your Organization, unless that recipient holds their own valid hourzero.dev license. You may not use the Download Files to build End Products for Clients unless the Client independently holds a valid hourzero.dev license when they receive the source code. Building a SaaS product that Clients use as End Users of a hosted service is permitted, but transferring, deploying, or providing the source code or Download Files to a Client's own infrastructure, repository, or team is prohibited unless that Client holds their own license. This prohibition applies regardless of whether the arrangement is structured as work-for-hire, assignment, managed service, or any other contractual framework.

Deploying separate bespoke instances of the Download Files or Derivatives where each instance is created for and dedicated to a specific Client — whether on your infrastructure or the Client's — is considered distribution and requires each such Client to hold their own valid hourzero.dev license. This applies even if you retain administrative control of the deployment. For the avoidance of doubt, the following are permitted without additional licenses: a single multi-tenant SaaS application serving multiple End Users; staging, production, and preview environments for your own End Products; regional deployments of the same End Product; disaster recovery and failover copies; and logical tenant isolation within a single deployment.

Employees and Contractors may not use the Organization's hourzero.dev license to build personal projects, side projects, or products unrelated to the Licensee's business.

7. Restrictions (All Tiers)

The following restrictions apply to all license tiers equally.

No redistribution. You may not resell, redistribute, sublicense, lease, rent, or otherwise transfer the Download Files or Derivatives as a standalone product — whether for free or for a fee. This includes distributing the Download Files as part of any boilerplate, template, starter kit, code generator, or similar product.

No competing products. You may not use the Download Files to create any product that is designed to allow an End User to build their own End Products using the Download Files or Derivatives. This includes but is not limited to competing boilerplates, templates, starter kits, or code scaffolding tools.

No open source. You may not publish, release, or distribute the Download Files or Derivatives under any open-source license, nor make them publicly available in any form, including public repositories, open-source projects, or freely downloadable packages.

No AI/ML training. You may not use the Download Files, in whole or in part, as training data for any machine learning model, artificial intelligence system, code generation tool, or similar technology, whether for commercial or non-commercial purposes. This includes but is not limited to fine-tuning language models, training code-completion tools, or feeding the Download Files into any automated code generation pipeline. For the avoidance of doubt, using AI coding assistants such as GitHub Copilot, Cursor, ChatGPT, Claude, or similar tools for development tasks — including prompting, code completion, refactoring, and debugging — is permitted, provided you do not use the Download Files to train, fine-tune, or create datasets for such tools.

No removal of notices. You may not remove, alter, or obscure any copyright, trademark, or proprietary notices from the Download Files.

No unlawful use. You may not use the Download Files in any way that violates applicable laws, regulations, or third-party rights.

8. Intellectual Property

hourzero.dev retains all right, title, and interest in and to the Download Files, including all intellectual property rights therein. Nothing in this Agreement transfers ownership of the Download Files or any intellectual property rights to you. You acquire only the limited usage rights expressly granted in this Agreement.

You retain full ownership of the original code, content, designs, and business logic you create in your End Products, excluding the underlying hourzero.dev intellectual property contained within the Download Files and Derivatives.

9. Lifetime Updates

All tiers include lifetime access to updates for the purchased Tier at no additional cost, subject to the following terms.

What is included: All future versions, bug fixes, security patches, improvements, and new features added to your purchased Tier, delivered via the same private GitHub repository. Access to updates continues for as long as your license remains active and in good standing.

What is not included: Access to features exclusive to a higher Tier. For example, a Starter license does not grant access to Pro or Enterprise features, even if those features are added or improved after your purchase. Each Tier is a distinct product and upgrading requires a separate purchase. Custom development, consulting, or implementation services beyond standard support. Guaranteed availability of specific features, timelines, or development roadmap items. hourzero.dev will make commercially reasonable efforts to maintain and improve the Product but makes no binding commitments regarding the scope, frequency, or nature of updates.

10. Disclaimer of Warranties

The Download Files are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. hourzero.dev makes no warranties or representations regarding the accuracy, reliability, completeness, security, or timeliness of the Download Files or the results obtained from their use. You assume all responsibility and risk for the selection, use, and results obtained from the Product.

hourzero.dev does not warrant that the Product will meet your requirements, that it will be uninterrupted or error-free, that defects will be corrected, or that the Product is free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, hourzero.dev, its owner, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss or corruption of data, business interruption, loss of contracts, loss of goodwill, or cost of procurement of substitute goods or services — arising out of or in connection with the use of, inability to use, or reliance on the Product, regardless of the cause of action or theory of liability, even if hourzero.dev has been advised of the possibility of such damages.

hourzero.dev's total cumulative liability under this Agreement, if any, shall not exceed the amount actually paid by you for your license.

12. Termination

This license is effective until terminated. The license will terminate automatically and immediately, without notice, if you breach any provision of this Agreement.

Upon termination, you and all Employees and Contractors (if applicable) must immediately cease all use of the Download Files, permanently delete all copies of the Download Files and Derivatives in your possession or control — including copies on local machines, servers, repositories, and backup systems — and confirm destruction in writing to hourzero.dev upon request. Copies residing in immutable or automated backup systems that cannot be selectively purged shall expire in accordance with your standard retention policies, and you shall not restore or use such copies for any purpose after termination.

Termination does not relieve you of any obligations or liabilities incurred prior to termination. The provisions regarding Restrictions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and General Provisions shall survive termination.

13. Indemnification

You agree to indemnify, defend, and hold harmless hourzero.dev, its owner, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Download Files, any End Product you create, any breach of this Agreement, or any unauthorized distribution of the Download Files by you or any party who obtained access through you.

14. Audit Rights

hourzero.dev reserves the right to audit your use of the Download Files to verify compliance with this Agreement. Audits shall be conducted no more than once per twelve-month period, and hourzero.dev shall provide at least thirty (30) days' written notice prior to an audit. Audits shall be limited in scope to evidence of license compliance — such as a list of individuals with access, number of deployments, and client licensing attestations — and shall not require access to your proprietary business systems or unrelated data.

You agree to cooperate with any such audit and provide the requested compliance records within a reasonable timeframe. hourzero.dev may, at its option, engage an independent third-party auditor bound by confidentiality obligations. If an audit reveals a material breach, you shall bear the reasonable costs of the audit in addition to any other remedies available to hourzero.dev.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Romania.

16. General Provisions

Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Waiver. The failure of hourzero.dev to enforce any provision of this Agreement at any time does not constitute a waiver of that provision or the right to enforce it at a later date. No waiver shall be effective unless made in writing.

Entire Agreement. This Agreement constitutes the entire agreement between you and hourzero.dev with respect to the licensing of the Product and supersedes all prior negotiations, representations, warranties, commitments, offers, and agreements, whether written or oral, relating to the subject matter hereof.

Amendments. hourzero.dev reserves the right to modify this Agreement at any time. Updated terms will be posted at the license URL on the Website with a revised "Last updated" date. Continued use of the Download Files after notification of changes constitutes acceptance of the updated terms. For material changes that substantially restrict your rights, hourzero.dev will make reasonable efforts to notify you via email.

Assignment. You may not assign or transfer this Agreement or any rights granted under it without the prior written consent of hourzero.dev. hourzero.dev may assign this Agreement without restriction.

17. Refunds

Due to the nature of digital products with immediate access to source code, all sales are final. The Product cannot be refunded or exchanged once access to the private GitHub repository has been granted.
