Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the hourzero.dev website at https://hourzero.dev ("Website") and all products, services, and content offered through it, including the hourzero.dev coding boilerplate ("Product"), operated by DIALOG AI SOLUTIONS SRL ("hourzero.dev," "we," "us," or "our"). By purchasing, downloading, accessing, or using the Product, you ("Licensee," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use the Product.
2. Definitions
"Download Files" means all files made available to you upon purchase, including source code, configuration files, documentation, assets, and any other materials provided as part of the Product.
"Derivative" means any work based upon, derived from, or incorporating any portion of the Download Files, regardless of the extent of modification, refactoring, renaming, or restructuring applied. A work does not cease to be a Derivative merely because it has been substantially modified.
"End Product" means any software application, website, or other artifact produced by you that incorporates the Download Files or Derivatives of the Download Files.
"End User" means any user of your End Product. For the avoidance of doubt, End Users of a SaaS application hosted and operated by you are not considered recipients of the Download Files and do not require their own hourzero.dev license.
3. Product Description
hourzero.dev is a coding boilerplate — a pre-built codebase designed to accelerate the development of AI chatbot applications. The Product is delivered as source code via access to a private GitHub repository. The Product is available in three tiers (Starter, Pro, and Enterprise), each with different features as described on the Website at the time of purchase.
4. Grant of License
Subject to the terms and conditions of this agreement and upon receipt of the applicable purchase price, hourzero.dev grants you a perpetual (unless terminated in accordance with Section 12), non-exclusive, non-transferable, and non-sublicensable license to use the Download Files for the following purposes:
You may create unlimited End Products for your own personal or commercial use. You may build and deploy software applications or websites that incorporate the Download Files, and sell or distribute those End Products to End Users, provided that the End Product does not expose, distribute, or make available the Download Files or source code to the End User. You may use the Download Files to build End Products for clients, provided that the End Product is delivered as a hosted service or compiled artifact and the client does not receive the Download Files, Derivatives, or source code. If a client requires access to the source code, that client must purchase their own hourzero.dev license. You may use automated service providers, hosting platforms, CI/CD pipelines, and cloud infrastructure to store, build, and deploy the Download Files solely to operate your own infrastructure.
5. Restrictions
You shall not resell, redistribute, sublicense, lease, rent, or otherwise transfer the Download Files or Derivatives as a standalone product, template, starter kit, or boilerplate — whether for free or for a fee. You shall not publish, release, or distribute the Download Files or Derivatives under any open-source license, or make them publicly available in any form, including public repositories. You shall not use the Download Files to create any product that competes with hourzero.dev, including but not limited to boilerplate products, starter kits, templates, or code generators that incorporate or are substantially based on the Download Files. You shall not remove, alter, or obscure any copyright, trademark, or proprietary notices from the Download Files. You shall not use the Download Files in any way that violates applicable laws, regulations, or third-party rights. You shall not use the Download Files, in whole or in part, as training data for any machine learning model, artificial intelligence system, code generation tool, or similar technology, whether for commercial or non-commercial purposes. For the avoidance of doubt, using AI coding assistants such as GitHub Copilot, Cursor, or similar tools for development tasks like code completion, prompting, and refactoring while working with the Download Files is permitted, provided you do not use the Download Files to train, fine-tune, or create datasets for such tools.
6. Pricing and Payment
The Product is available as a one-time purchase. The price for each tier is displayed on the Website at the time of purchase. hourzero.dev offers limited-time founder pricing for the first 100 purchases across all tiers. After 100 total purchases have been made, the price for each tier will increase to the regular rate as displayed on the Website. If you purchase during the founder pricing window, you receive the Product at the founder price — this is a one-time payment and will not change retroactively. All prices are in US Dollars (USD). Payment is processed through Stripe. By completing a purchase, you authorize hourzero.dev to charge the applicable amount to your selected payment method.
hourzero.dev reserves the right to adjust pricing at any time. Price changes will not affect purchases already completed.
7. Delivery and Access
Upon successful payment, you will receive access to the private GitHub repository corresponding to your purchased tier. Delivery is immediate and digital. You are responsible for maintaining the confidentiality of your access credentials. You may not share repository access with any individual who is not authorized under your license.
8. Refund Policy
Due to the nature of digital products with immediate access to source code, all sales are final. The Product cannot be refunded or exchanged once access to the private GitHub repository has been granted. If you have questions about the Product before purchasing, you are encouraged to contact us at bogdan@hourzero.dev before completing your purchase.
9. Lifetime Updates
All tiers include lifetime access to updates for the Product at no additional cost. This includes future versions, bug fixes, security patches, improvements, and new features added to your purchased tier. Lifetime updates apply to the specific tier purchased. Features exclusive to a higher tier are not included — upgrading to a higher tier requires a separate purchase. hourzero.dev will make commercially reasonable efforts to maintain and improve the Product but makes no binding commitments regarding the scope, frequency, or timeline of updates.
10. Intellectual Property
hourzero.dev retains all right, title, and interest in and to the Download Files, including all intellectual property rights therein. This agreement does not transfer ownership of the Download Files or any intellectual property rights to you. You acquire only the limited usage rights expressly granted in this agreement. You retain full ownership of the End Products you create using the Download Files, excluding the underlying hourzero.dev intellectual property contained within them.
11. Disclaimer of Warranties
The Download Files are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Product will be uninterrupted, error-free, or free of harmful components. hourzero.dev makes no warranties or representations regarding the accuracy, reliability, completeness, or timeliness of the Download Files or the results obtained from their use. You assume all responsibility and risk for the selection, use, and results obtained from the Product.
12. Limitation of Liability
To the maximum extent permitted by applicable law, hourzero.dev, its owner, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss or corruption of data, business interruption, loss of contracts, or loss of goodwill — arising out of or in connection with the use of, inability to use, or reliance on the Product, regardless of the cause of action or theory of liability, even if hourzero.dev has been advised of the possibility of such damages.
hourzero.dev's total cumulative liability under this agreement, if any, shall not exceed the amount actually paid by you for the Product.
13. Termination
This license is effective until terminated. The license will terminate automatically and immediately, without notice, if you breach any provision of this agreement.
Upon termination, you must immediately cease all use of the Download Files, permanently delete all copies of the Download Files and Derivatives in your possession or control, including copies on local machines, servers, repositories, and backup systems (to the extent technically feasible — copies residing in immutable or automated backup systems that cannot be selectively purged shall expire in accordance with your standard retention policies, and you shall not restore or use such copies for any purpose after termination), and confirm destruction in writing to hourzero.dev upon request.
Termination does not relieve you of any obligations or liabilities incurred prior to termination. The provisions regarding Restrictions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and General Provisions shall survive termination.
14. Indemnification
You agree to indemnify, defend, and hold harmless hourzero.dev, its owner, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Download Files, any breach of this agreement, any End Product you create, or any unauthorized distribution of the Download Files by you or any party who obtained access through you.
15. User Responsibilities
You are solely responsible for the End Products you build using the Download Files. hourzero.dev is not responsible for the content, functionality, legality, or impact of any End Product or user-generated content created using the Product. You agree to comply with all applicable laws and regulations in your use of the Product and any End Products you create.
16. Third-Party Services
The Product integrates with third-party services including but not limited to Stripe, Upstash, Resend, Vercel AI SDK, Better-Auth, and Railway. Your use of these services is governed by their respective terms of service and privacy policies. hourzero.dev is not responsible for the availability, performance, or terms of any third-party service. You are responsible for obtaining and maintaining your own accounts and API keys for any third-party services required to operate the Product.
17. Privacy
Your use of the Website and Product is also governed by our Privacy Policy, available at https://hourzero.dev/privacy-policy. By using the Website and Product, you consent to the collection and use of information as described in the Privacy Policy.
18. Governing Law and Jurisdiction
This agreement shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any dispute arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Romania.
19. General Provisions
Severability: If any provision of this agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Waiver: The failure of hourzero.dev to enforce any provision of this agreement at any time does not constitute a waiver of that provision or the right to enforce it at a later date. No waiver shall be effective unless made in writing.
Entire Agreement: This agreement constitutes the entire agreement between you and hourzero.dev with respect to the Product and supersedes all prior negotiations, representations, warranties, commitments, offers, and agreements, whether written or oral, relating to the subject matter hereof.
Amendments: hourzero.dev reserves the right to modify these Terms at any time. Updated Terms will be posted at this URL with a revised "Last updated" date. Continued use of the Product after changes are posted constitutes acceptance of the updated Terms. For material changes that substantially restrict your rights, hourzero.dev will make reasonable efforts to notify you via email.
Assignment: You may not assign or transfer this agreement or any rights granted under it without the prior written consent of hourzero.dev. hourzero.dev may assign this agreement without restriction.
No Partnership or Agency: Nothing in this agreement creates a joint venture, partnership, employment, or agency relationship between you and hourzero.dev.

The structure and substance here are solid and based on real-world precedents from the boilerplate industry, but a legal professional can catch jurisdiction-specific issues and edge cases that I can't.
